A motion by Lachowitzer, second by Femling to approve the conditional use application of John Lowe, Lake Lida, 56-747, GD, Lot 30, Block 4, Lida Shores, Section 10, Lida Township as presented and allowing the work to be done this fall at a date no later than November 15th. A motion by Petterson, second by Schwartz to table the conditional use application and preliminary plat of Taylor Investment, West Battle Beach, West Battle Lake, 56-239, GD, Pt. of G.L. 1 & 2, Section 25 and Pt. G.L. 1, Section 26, Everts Township until the November 1988 meeting. Anderson and Bill Buel represented the application. Walker, Mrs. Phil Olson, Arlene Berg and Jack Donley expressed concerns regarding the request. Tabled: Chuck Don Voting; All members in favor. A motion by Femling, second by Petterson to deny the conditional use application of Gary Bultman, Pelican Lake, 56-786, GD, E 204' of G.L. 6, Section 3, Dunn Township as presented. Denied; A motion by Schwartz, second by Petterson to approve the conditional use application of Charles W. Kochmann, et al. Otter Tail Lake, 56-242, GD, 29 properties on Roinez and Shirley Beaches, Sections 22 & 27, Amor Township as presented (using 4.7 as the ordinary high water mark) and that the applicant must stake the OHWM and Land & Resource Management will verify it; may do the work this fall at a date no later than 12-31-88; also, one contractor must do the project. It was to provide a place where they could go with their families and camp even if they did not have money or it cost them very little; also, a place where there was no alcohol or drug usage. I first began 20 years ago by helping clear the land so that it was suitable for this purpose and then later, as President, wrote grant applications to foundations to pay off the loans, buy more land, put up the buildings and general improvements. I first began camping on the grounds 20 years ago and this has always been the intended use of the grounds and what we have used it for during the past 20 years. OFFICES. The principal office of the corporation shall be in the City of Fergus Falls, County of Otter Tall and State of Mlnneaota. The Corporation may have offices and places of business at such other places within and without the State of Minnesota as shall be determined by the directors. MEMBERS SECTION 2. ANNUAL MEETING. The meeting of the members shall be held on the third Thursday of February of each and every year for the purpose of electing directors and for the trans­ action of any other business authorized to be transacted by the members. SECTION 3. SPECIAL MEETINGS. Special meetings of the members may be called by the presi­ dent and must be called by him on receipt of a written request from the holders of ten percent (107.) of the membership certificates when outstanding and entitled to vote. SECTION 4. NOTICE OF ANNUAL OR SPECIAL MEETING. Notice of the annual meeting or the ‘ special meeting, stating the time, place and purpose of business thereof shall be given to er.ch member not less than ten nor more than thirty days prior to the meeting. CECTICN 5. QUORUM. At any meeting of the members, the holders of a majority of the cor.’:crship certificates entitled to vote, then issued and outstanding shall constitute a quorum. SECTION 6. VOTING. At each meeting of the members, each holder of a membership certificate shall have one vote for each such membership certificate registered In his name for all purposes. BOARD OF DIRECTORS GICTICIT 7. NUMBER OF DIRECTORS: TENURE: VACANCIES: The business and affairs of the corporation shall be managed and controlled by a board of five directors, who shall be elected annually by the shareholders at the annual meeting. Any director may resign at any time. Vacancies occurring among the directors shall be filled by the Board. SECTION 0. REGUIAR AND SPECIAL MEETINGS OF THE BOARD. Immediately after each annual election, the newly elected directors may meet forthwith for the purpose of organization, the election of officers, and the transaction of other business; if a quorum of the directors be then present no prior notice of such meeting shall be required. Other regular meetings of the Board may be held without notice at such times and places as the Directors may determine. Special meetings of the Directors may be called by the President end must be called at the written request of one member of the Board, Notice of a Special Meeting shall be given to each Director at least two days prior to the meeting. SECTION 9. QUORUM. A majority of the Board of Directors shall constitute a quorum at all r.eetlngs of the Board. EETi’ICN 10. EXECUTIVE OFFICERS. The executive officers of the corporation shall be Trorident, Vice-president, Secretary, and Treasurer; all of whom shall be elected annually the Directors, and shall hold office during the pleasure of the Directors. SECTION 14. THE TREASURER. The Treasurer shall have custody of all funds, securities, evidences of indebtedness and other personal property of the corporation and shall deposit the same in such bank or trust company as shall be designated by the directors; shall receive and give receipts for moneys paid in on account of the corporation, and shall pay out of the funds on hand all bills, payrolls, and other just debts of the corporation; shall enter regularly in books of the corporation to be kept for that purpose, full and accurate account of all moneys received and paid out and shall perform all other duties incident to the office of Treasurer. SECTION 15. PECUNIARY GAIN.______________ No part of the net earnings shall inure to the benefit of any director, officer, or member, incidently or otherwise. No compensation shall be paid to any director or officer, or member except as a reasonable allowance for services accordingly rendered to or for the corporation. I ■. ■ME^^BERS^IP CERTIFICATES SECTIOTJ 16. FORM AND EXECUTION OF CERTIFICATES. The certificates of membership of the corporation shall be in such form as shall be approved by the Directors. SECTION 17. QUALIFICATIONS FOR PURCHASING OF CERTIFICATES. Only alcoholics with six months sobriety shall be eligible for the purchase of certificates of membership in this corporation. No one person shall be allowed to purchase or own more than five certificates. SECTION 18. TRANSFER OF SHARES. Holders of membership certificates may transfer their Interest to a qualified purchaser only with the approval of the Board of Directors, pro­ viding however, that no such transfer will be authorized until the expiration of three years from and after the date of incorporation. CORPORATE SEAL SECTION 19. SEAL. charge of the secretary and shall be used as authorized by the directors. PRIVILEGES OF MEMBERSHIP SECTION 22. FACILITIES. Members of the corporation shall be entitled to full use of all facilities of the corporation, except such parts thereof as may be set aside by the Board of Directors for rental purposes. Members of the corporation shall have the first oppor­ tunity to rent or lease any facilities set aside by the Board of Directors. SECTION 23. NON-MEMBER ALCOHOLICS. Any non-member alcoholic with six months sobriety shall be welcome to the use of the facilities, provided however, that any alcoholic residing within a 200 mile radius of the facility shall be expected to purchase a membership certificate on or before his third visit, exclusive of official meetings. SECTION 24. MEMBER'S FAMILY. The widow or widower and minor children of a member shall be entitled to the use of the facilities of the corporation. GIFTS SECTION 25. GIFTS. contribution, gift, bequest, or devise for the general purpose or for any special purpose of the corporation. The Board of Directors may accept on behalf of the Corporation any WAIVER OF NOTICE SECTION 26. WAIVER OF NOTICE. Whenever any notice is required by law to be given, a waiver in writing signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice. AMENDMENTS SECTION 27. AMENDMENTS TO BY-LAWS.
