PREPAYMKNT, Unless otherwise provided in this contract, Purchaser shall have the right to fully or pai'iially prepay this contract at any time without penalty. Partial prepayment shall not postpone the due dale of the installments to be paid pursuant to this contract or change the amount of such installments. .!i 6. REAL ESTATE TAXES AND ASSESSMEN'I’S. Purchaser shall pay, before penalty accrues, all real estate taxes and installments of special assessments assessed against the Property which are due and payable in the year 2004 and in all subsequent years. Real estate taxes and installments of special assessments which are due and payable in'jihe year in which this contract is dated shall be paid as follows; !| Buyer and Seller agree to prorate the 2004 real estate taxes as of date of closing Seller warrants that Uw real estate taxes and installments of special assessments which arc due and payable in the years preceding'the year in which this contract is dated are paid in full. 7. PROPERTY INSURANCE. (a) INSURED RISKS AND AMOUNT. Purchaser shall keep all buildings, improvements and fixtures now or later located on or a part of the Property insured against loss by fire, extended coverage perils, vandalism, malicious mischief and, if applicable, steam boiler explosion for at least the amount of NONE. If any, of the buildings, improvements or fixtures are located in a federally designated flood prone area, and if flood insurance is available for that area, Purchaser shall procure and maintain fiood insurance in amounts reasonably satisfactory to Seller. (b) OTHER TERIVIS. The insurance policy shall contain a loss payable clause in favor of Seller which provides that Seller’s right to recover under the insurance shall not be impaired by any acts or omissions ofPurchascr or Seller, luid that Seller shall otherwise be afforded all rights and privileges customarily provided a mortgagee under the so-called standard mortgage clause. (c) NOTICE OF DAMAGE. In the event of damage to the Property by fire or other casualty, Purchaser shall promptly'givc notice of such damage to Seller and the insurance company. 8 damage to the PROPERTY. (a) APPLICATION OF INSURANCE PROCEEDS. If the Property is damaged by fire or other casualty, the iiiurance proceeds paid on account of such dan^age shall be applied to payment of the amounts payable by Purchaser under this contract, even if such amounts arc not then due to be paid, unless Purchaser makes a pennitted election described in the next paragraph. Such amounts shall be first applied ^Lo unpaid accrued interest and next to the installments to be paid as provided in this conirnci in the inverse order of their maturity. Such payment shall not postpone the due date of the installments tojbe paid pursuant to this contract or change the amount of such installments. The balance of insurance proceeds, if any, shall be the property ofPurchaser. (h) PURCHASER'S ELECTION TO REBUILD. If Purchaser is not in default under this contract, or after curing tmy such default, and if the mortgagees in any prior mortgages and sellers in any prior contracts for deed do no require otherwise, Purchaser may elect to have that portion of such insurance proc^ds necessary to repair, replace or restore the damaged Property (the repair work) deposited in escrow with a bank or title insurance company qualified to do business in the State of Mimicsota, or such oilier party as may be mutually agreeable to Seller and Purchaser. The election may only be made by written notice to Seller within sixty days after the diunagc occurs. Also, the election will only be permitted if the plans and specifications and contracts for the repair work arc approved by Seller, which approval Seller shall not unreasonably witliliold or delay. If such a pemiincd election i.s made by Purchaser, Seller iind Purchaser shall jointly deposit, when paid, such insurance proceeds into sucli escrow. If such insurance proceeds are insufficient for tlie repair work, Purchaser shall, before the commencement of the repair work, deposit into such escrow sufficient additional money to insure the full payment for the repair work. If, following the completion of and payment for the repair work, there remain any undisbursed escrow funds, such funds shall be'applied to payment of the amounts payable by Purchaser under this contract in accordance with paragraph 8 (a) above.ii 9. However, Purchaser shall have no liability or obligation to Seller for such injuries which arc caused by the negligence or intentional wrongful acts or omissions of Seller. (b) LIABILITY INSURANCE. Purchaser shall, at Purchaser's own expense, procure and maintain liability iiisuraiice against claims for bodily injury, death and property dtimage occurring on or about the Property in'nmoums reasonably satisfactory to Seller and naming Seller as an additional insured. 10. INSUR-ANCE, GENERALLY. The insurance which Purchaser is required to procure and maintain pursuant lo paragraphs 7 and 9 of this contract shall be issued by an insurance company or companies licensed lo do business in the State of Minnesota and acceptable to Seller. The insurance shall be maintained by Puichascr al all times while ujiy amount remains unpaid under this contract. Purchaser shall not remove or demolish any buildings, improvements or fixtures now or later located on or a part of the Property, nor shall Purchaser commit or allow waste of the Property. Purchaser shall maintain the Property in good condition and repair. Purchaser shall not create or permit lo accrue liens or adverse claims against the Property which constitute a lien or claim against Seller's interest in the'Property. Purchaser shall pay to Seller all amounts, costs and expenses, including reasonable attorneys' fees, incurred by Seller to remove any such liens or adverse claims.'■I -i 13. . If either Seller or Purchaser assigns their interest in the Property, a copy ofsuch assignment shall promptly be furnished to the non-assigning party. PROTECTION OF INTERESTS. If Purchaser fails to pay any sum of money required under the terms of this contract or fails to perform any of Purchaser's obligations as set forth in this contract, Seller may, at Seller's option, pay ihejsame or cause the same to be performed, or both, and the amounts so paid by Seller and the cost ofsuch performance shall be payable at once, with interest at the rate stated in paragraph 4 of this contract, as an additional amount due Sclicr under this contract. The lime of performance by purchaser of ihe terms of this coniracl is an essential part of this contract, Should Purchaser fail to timely perform any of the terms of this contract, Seller may, at Seiler's option, elect to declare this contract canceled and terminated by notice to Purchaser in accordancc wiih applicable law. All right, title and interest acquired under this contract by Purchaser shall then cease and terminate, and all improvements made upon the Property and all payments made by Purchaser pursuant to this coniracl sliall belong to Seller as liquidated damages for breach of this contract. UThe Property is subject to a recorded declaration providing for assessments to be levied against the Property by any owners' association, which assessments may become a lien against the Property if not paid, then; Purchaser shall|proinptly pay, when due, all assessments imposed by the owners' association or other governing body as required by the provisions of the declaration or other related documents; I(b) So long as ihe^owncr's associalio.n maintains a master or blanket policy of insurance against fire, extended coverage perils and such oilier hazards and in such amounts as are required by this contract, then: 1 I(i) Purchaser's obligation in this contract to maintain hazard insurance coverage on the Properly is satisfied; ancl (ii) The provisions in paragraph 8 of this contract regarding application of insurance proceeds shall be superseded by the provisions of the declaration or other related documents; and (Hi) In the event of a distribution of insurance proceeds in lieu of restoration or repair following an insured casualry loss to the Properly, any such proceeds payable to Purchaser hare hereby assigned and shall be paid to Seller for application to the sum secured by this contract, with the excess, if any, paid to Purchaser. This 2.33 mile segment of CSAH 9 was surfaced in 1954 which is the last date that any major work has been done on this roadway. The date of the original grading is 1952. The existing highway is deficient in cross-section, design speed and pavement section structure. The proposed project will be constructed to current Mn/DOT State Aid Standards and will provide a safer and more efficient highway. Otter Tail County Highway Department - Approved As Presented: A Conditional Use Permit Application (as stated by the Applicant on the Application): Project No. S.A.P. 056-609- 005, reconstruction of CSAH 9 from 150.00 feet South of Pelican Drive to the North County line, 2.330 miles. This 2.33 mile segment of CSAH 9 was surfaced in 1954 which is the last date that any major work has been done on this roadway. The date of the original grading is 1952. The existing highway is deficient in cross-section, design speed and pavement section structure. The proposed project will be constructed to current Mn/DOT State Aid Standards and will provide a safer and more efficient highway. Detailed project plans are on file at Land & Resource Management and are available at the Otter Tail County Highway Department. All needed easements have been obtained. Prior to construction all appropriate permits will be obtained. The proposal is located From a point 2093.96 feet North and 254.46 feet East of the South Quarter Corner of Section 11-T137N-R43W to 58.78 feet North and 1317.40 feet East of the Northwest Corner of Section 1-T137N-R43W (CSAH 9 from 150.00 feet South of South Pelican Drive to the North County Line). From Station 153+00 to 253+20 is within the shoreland area, totaling 10,020 feet. Sections 1, 2, & 11 of Scambler Township; Pelican Lake (56-786), GD; Duck Lake (56-925), NE; Unnamed Lake (56- 930), NE; Spring Creek (56-TR), Trib. Charles Grotte (Assistant County Engineer) represented the Application. Written correspondence was read into the record. Mark Hensley expressed concerns on his riparian rights.
