As discussed in our phone conversation earlier this morning as you notice we have shown a 4.95% positive slope on the road portion where it ties into Pelican Drive South. We will change that in the field to reflect a 2% back slope draining away from the road and into the ditch. We will also install a 15" CMP with flared end sections for allowing drainage from the west to pass through. Please review with your road superintendent Mike Johnson and give Bill Kahler a call at L&R so he can issue the permit for us. Thank you for your help on this matter. The Tharaldson's are excited to get this project under way as are the sub-contractors. Water Management District Agreement Land & Resource Director Bill Kalar reviewed an agreement between Otter Tail County and the Otter Tail Lakes Water Management District dated May 13, 2015 regarding inspections of Sewage Systems within the District. AIS Task Force Motion by Johnson, second by Rogness, and unanimously carried to approve all expenditures recommended by the Aquatic Invasive Species Task Force documented in the AIS Task Force Minutes dated June 8, 2015. Legislative Session Report MICA Executive Director Keith Carlson and Human Services Liaison Nancy Silesky, briefed the Board and submitted documents regarding the 2015 Legislative Session. They highlighted tine big issues discussed during the legislative session and provided a preview of what to expect in the next session. As the various MICA committees meet this fall. Chairman Lindquist recessed the meeting of the OtterTail County Board of Commissioners for lunch break. The Board of Commissioners meeting was reconvened at 1 ;11 p.m. Moebius/Hanson Wetland Conservation Act Appeal County Attorney David Hauser reported that the Moebius/Hanson WCA Appeal Hearing scheduled with the County Board at 1:00 p.m. today was canceled by Attorney Gary Leistico (representing Moebius/Hanson). Mr. Hauser anticipates that a new application will be submitted in this case. Brandt does hereby grant to the Tharaldsons the following described easements for ingress and egress purposes: A 16.00 foot wide easement for driveway purposes over, under and across part of TRACT A, REGISTERED LAND SURVEY NO. 14, said REGISTERED LAND SURVEY NO. 14 is on file and of record in the office of the County Recorder in ' )1 ' B•4 ‘ '... m • The above-described easement is depicted upon the survey attached hereto as Exhibit A. Alteration. The above-described easement reflects the current location of an existing physical driveway located upon Tract A. The Tharaldsons have indicated to Brandt that the existing slope and grade of the existing driveway over a portion of Tract A is excessively steep for convenient passage of customary passenger vehicles. The Tharaldsons have requested that Brandt allow for the possibility of reconfiguring the layout of the existing driveway to reduce the slope and grade of said driveway (by engineering and constructing a switchback or series of switchbacks), to reasonably accommodate normal passage to customary passenger vehicles. The Tharaldsons may, subject to prior written permission and approval from Brandt in his sole discretion, reasonably alter the layout and location of the above-described driveway easement in order to minimize the slope and grade of the driveway and to reasonably accommodate normal convenient passage of vehicles to the Tharaldson Property. In the event Brandt authorizes such a revision to the driveway, the Tharaldsons shall be solely responsible for all costs of surveying, engineering, constructing and maintaining the altered driveway. As a condition precedent to obtaining approval from Brandt, the Tharaldsons shall first submit to Brandt in writing all engineering plans and specifications, engineered site plan, construction contracts, and survey maps showing and describing the proposed altered driveway easement location and describing the materials to be used in improving the driveway, if any. The Tharaldsons agree that such driveway shall be altered in a manner that is minimally sufficient to accomplish the intended purpose of reducing the slope and grade of the driveway in the relevant location of said driveway, and shall use their best efforts to reduce and minimize the scope and layout of the revised driveway and the amount of Tract A required for the revised driveway easement. Brandt’s approval of the altered driveway easement shall be in his sole reasonable discretion, based upon the factors set forth herein. Such revised driveway easement shall only become effective upon the e.xecution and recording of a written amendment to this Easement Agreement, signed by both Brandt and the Tharaldsons, describing the specific surveyed location of the revised driveway easement. 2. Use. The driveway easements granted herein shall be used only for the normal and customary passage of vehicles over and upon the driveway. The driveway described herein shall only be used by the Tharaldsons, and their guests and invitees, and the easements shall not be deemed to inure to the benefit of the public. The Tharaldsons shall take reasonable steps to ensure that the use of the driveway by the Tharaldsons and their guests and invitees does not unreasonably disturb the occupants of TRACT A or otherwise cause any nuisance (e.g. loud noise or disruptive traffic), and is used only to access the Tharaldson Property. Benefit. The easements granted herein shall be for the exclusive benefit the Tharaldson Property, and shall only inure to the benefit of the Tharaldsons, their heirs, successors and assigns. 4. Not a Public Dedication. Nothing contained herein shall, or shall be deemed to, constitute a gift or dedication of any portion of TRACT A to the general public or for the benefit of the general public or for any public purpose whatsoever, it being the intention of the grantor 5. 3 \{I improvements which may result in liens on TRACT A, and the Tharaldsons shall keep TRACT A free and clear of any mechanic’s liens. The Tharaldsons and their successors and assigns shall indemniiy Brandt and his successors and assigns harmless from any liability, loss, damage, cost, expense or claim, including attorney’s fees, as a result of any such mechanic’s liens on TRACT A. Any such gate or fencing shall be maintained in a functioning and aesthetically-pleasing condition and repaired by the Tharaldsons and their successor and assigns, at their sole cost and expense. Any such gate or fencing erected by the Tharaldsons shall be deemed a fixture attached permanently to TRACT A owned by Brandt, and thereafter the Tharaldsons shall have no right to remove the gate or fencing without the prior permission of Brandt. Notwithstanding the construction of such gate or fencing, Brandt and his guests, invitees, employees, heirs, successors and assigns shall continue to have the unrestricted right to use the driveway described herein. As such, the Tharaldsons shall at all times provide Brandt with the necessary means to open such gate, including but not limited to up-to-date access codes, keys, cards or similar modes of access. If the Tharaldsons fail to construct the gate described herein within thirty (30) months from the date of this Agreement, Brandt shall have the right, but not the obligation, to construct such gate and require the Tharaldsons to reimburse Brandt for the entire cost and expense of constructing such gate. Brandt Gate. Brandt shall have the right, at his own expense, to erect a gate, fence, wall or barrier at the easterly end of the driveway easements described herein, blocking travel over the remaining portion of the driveway located upon TRACT A, which is not included as part of the easements described herein. 10. No Obstructions. Except for the gates described in paragraphs 9 and 10, no other gate, fence, wall, or similar barrier which would unreasonably prevent or obstruct the passage of vehicular travel shall be erected or permitted on the described driveway easement. 11. No Parking. No vehicles, boats or other obstructions shall be parked upon the12. driveway easement areas. Maintenance. The Tharaldsons shall be solely responsible for the costs and expenses of maintaining, repairing and replacing the driveway, entrance gate, fencing, or trees and shrubs within the easement area. The Tharaldsons shall maintain the easement in a first class manner and in good order and repair, suitable for driveway purposes. If the Tharaldsons fail to maintain the driveway, gate, fencing, or trees or shrubs in a first class manner and in good order and repair, Brandt shall have the right, but not the obligation, to maintain or repair the same and to require the Tharaldsons to reimburse Brandt for the entire cost and expense of such repairs or maintenance. If Brandt elects to make such repairs, Brandt shall obtain bids from at least two independent contractors prior to making such repairs. Brandt shall be entitled to his reasonable attorney’s fees for enforcing the reimbursement obligations of the Tharaldsons set forth herein. 13. 5 Intent. The Tharaldsons acknowledge that although the semi-circular driveway located upon TRACT A and TRACT B of Registered Land Survey No. 14 has two entrances along Pelican Drive South, the Tharaldsons may only use the westerly entrance and only have an easement over that portion of the driveway specifically described in paragraph 1 above. The Tharaldsons shall have no right to use the easterly entrance or to use any portion of the driveway which is not described in paragraph 1. 14. Parties Bound. The easement granted or created herein, together with alt terms, conditions, covenants and agreements herein shall be deemed to be covenants running with the land and shall be binding upon and inure to the benefit of the parties hereto, their respective successors, assigns, agents, employees, guests and invitees. 15. Entire Agreement. This document shall be deemed to include the entire agreement between the parties.
