Call to Order
The Otter Tail County Board of Commissioners convened at 8:30 a.m . Tuesday, November 24, 2020, at the Government Services
Center in Fergus Falls, MN . Commissioners Lee Rogness , Chair; Betty Murphy, Vice-Chair; Wayne Johnson , John Lindquist and
Doug Huebsch were present in the room . The meeting was held via Webex and was available to the public via livestream due
to the health pandemic and declared emergency in accordance with Minn. Stat . Sec. 13D.021 Subd . 1 (1 ).
Approval of Agenda
Chair Rogness called for approval of the Board Agenda. Motion by Johnson, second by Murphy and unanimously carried to
approve the Board of Commissioners ' agenda of November 24, 2020 with the following additions :

Otter Tail County Resolution to Authorize Signatory on behalf of Otter Tail County for the Children's Mental Health
Screening Grant Contract
Otter Tail County Resolution No. 2020 -82
Whereas, the State of Minnesota acting through its Department of Human Services, Behavioral Health Division (State), pursuant
to Minnesota Statutes, section 256 .01, subdivision 2(a)(6), has authority to enter into contracts for the following services : mental
health screenings, assessments, and referrals for diagnostic assessment and /or treatment for children within the child welfare
and juvenile justice populations (prioritizing funds for uninsured and underinsured children); and
Whereas, State, in accordance with Minnesota Statutes, section 13.46, is permitted to share information with Otter Tail County
(County). And County represents that it is duly qualified and willing to perform the services set forth in the Contract to the
satisfaction of State; and
Whereas, the contract requires signatory authority and the contracts must be completed through digital signature with the
State .
THEREFORE, BE IT RESOLVED that the Otter Tail County Board of Commissioners authorizes Deb Sjostrom or successor, Otter
Tail County Human Services Director to sign on behalf of the County.
The motion for the adoption of the foregoing resolution was introduced by Commissioner Johnson, duly seconded by
Commissioner Huebsch and, after discussion thereof and upon vote being taken thereon, passed unanimously.

Resignation of County Recorder
Board of Commissioners Meeting Minutes
November 24, 2020
Motion by Huebsch , second by Murphy and unanimously carried to accept a letter of resignation from the Otter Tail County
Recorder, Carol Schmaltz . Commissioners expressed appreciation and gratitude for her work and dedication and Ms . Schmaltz's
last day of employment will be February 28, 2021 .
Appointment of Offices of Auditor-Treasurer and Recorder
Otter Tail County Resolution No. 2020 -83
WHEREAS , Minn . Stat . §375A .1205 allows a County Board to appoint certain offices including the County Auditor-Treasurer and
the County Recorder; and
WHEREAS , the County Board of Commissioners recognizes the benefit to having appointed persons in the positions of the
County Auditor-Treasurer and County Recorder because it promotes efficiency and consistency of County business with
individuals qualified to oversee a broad spectrum of complex issues within the Auditor-Treasurer and Recorder Offices; and
WHEREAS , pursuant to Minn . Stat . §375A .1205, Subd . 1, the County Board will appoint a County Auditor-Treasurer or County
Recorder under the following circumstances :
1. There is a vacancy in the office;
2. The current office holder has notified the county board that the officer will not file for the office; or
3. There is a signed contract with the county board and incumbent auditor-treasurer or recorder that the incumbent
officer will be appointed to the position and retain tenure, pay, and benefits equal to or greater than length of service .
WHEREAS , in accordance with Minn. Stat . §375A .1205, Subd . 6, a proposed resolution notifying the public of its intent to appoint
the Auditor-Treasurer and Recorder as described above was published for two consecutive weeks in its official publication,
Fergus Falls Journal, and a public hearing was held on November 17, 2020, allowing for public comment at that time, and written
comment until 4 :30 p .m . on November 20, 2020 .
NOW, THEREFORE , BE IT RESOLVED , that the Otter Tail County Board of Commissioners hereby adopts this resolution and that
the offices of the County Auditor-Treasurer and County Recorder shall be filled by appointment upon a vacancy in the office, the
completion of the term of office to which the incumbent was elected, or by signed contract with the incumbent auditor-
treasurer or recorder, whichever occurs earlier, and in accordance with the Personnel Rules; and
BE IT FURTHER RESOLVED, that this resolution takes effect on January 1, 2021.
The motion for the adoption of the foregoing resolution was introduced by Commissioner Murphy, duly seconded by
Commissioner Johnson , and, after discussion thereof and upon vote being taken thereon, passed unanimously.

Recess & Reconvene
At 8:53 a.m ., Chair Rogness declared the meeting of the Otter Tail County Board of Commissioners recessed for a short break.
The Board of Commissioners meeting was reconvened at 8:59 a.m .
Plat Extension -Long Addition
Motion by Lindquist, second by Huebsch and unanimously carried to grant an extension of the plat known as Long Addition
located on Heil berger Lake as requested by Anderson Land Surveying, Inc. The extension will expire on December 17 , 2021 .

Approval of Final Plat -Windmill Hill Second Addition
Motion by Huebsch, second by Johnson and unanimously carried to approve the Final Plat known as Windmill Hill Second
Addition consisting of 5 single family residential non-riparian lots. The surveyor plans to file a Certificate of Correction after the
Plat is recorded to include a block number as required by statute .
Planning Commission Recommendation
"Lucky's Land''/ Dianne & Steve Holten :
Motion by Lindquist, second by Johnson and unanimously carried to approve the Preliminary Plat titled "Lucky 's Land ", with a
condition as recommended by Planning Commission, consisting of 4 single family residential non-riparian lots, 1 block. The
proposed is located on Lot 1, block 2 of St. Clair Shores, Section 34, Tumuli Township; Ten Mile (56-613), RD .
William & Jasmine Mcfarlane:
Motion by Johnson, second by Murphy and unanimously carried to accept the request of William & Jasmine McFarlane to
withdraw their Conditional Use Permit application .
"Crystal Backlots "/ Tweeton Property Management LLC:
Motion by Johnson, second by Huebsch and unanimously carried to approve the Preliminary Plat titled "Crystal Backlots "
consisting of 6 non-residential non-riparian lots, 1 Block. The proposed is located at 44209 Crystal Hills Drive, Section 11 of Lida
Township; Crystal (56-749), RD .
Kim p's Kamp/ John Kimple et al:
Motion by Huebsch, second by Lindquist and unanimously carried, with Johnson abstaining, to approve a Conditional Use
Permit to convert the existing office/store at Kim p's Kamp Resort to a dwelling, increasing the number of dwelling units from
the existing 12 to 13. The proposed is located at 38267 White Haven Road , Section 8 of Dead Lake Township: Dead Lake (56-
383), NE .
Bernard & Josephine Stich, Tst/Robert & Kari Dorn:
Motion by Johnson, second by Huebsch and unanimously carried to approve a Conditional Use Permit to operate a fitness
center. The fitness center will provide instructor led classes, 1 :1 training and open gym opportunities for community member
and athletes to work on fitness training . This is NOT an anytime fitness operation, all training will be supervised and /or
conducted with a coach /instructor present. The initial phase of operation will include renovation to the existing structure with
consideration of adding an additional structure in later phases . The proposal is located at 23354 State Hwy 78, Section 27 of
Everts Township: Silver Lake (56-302), RD .
Non-Residential Planned Unit Developments:
Motion by Huebsch, second by Lindquist and unanimously carried to accept the recommendation of Planning Commission to
amend the Shoreland Management Ordinance to require Conditional Use Permits (CUP) for Non-Residential Planned Unit
Developments using the same criteria from the Ordinance as used when considering any other CUP Application . The Board
deferred the issue to the Public Works Committee to discuss potential ordinance provisions and bring a recommendation to
the full board .
Highway Projects
Crack Seal ing Materials:
Motion by Johnson, second by Huebsch and unanimously carried to approve the request to purchase hot poured rubber for
the 2021 crack sealing season . The request is to purchase approximately 93,000 lbs of Maxwell Nuvo 3405 crack sealant for
approximately $51,615 from Midstates Equipment & Supply and the product will be delivered and invoiced in 2021 .
Highway & Solid Waste Joint Emergency Driver Exchange:
Motion by Huebsch, second by Lindquist and unanimously carried to approve the Otter Tail County Highway and Solid Waste
Departments Joint Emergency Driver Exchange COVID-19 Pandemic Response Plan to provide critical services to the citizens of
the County as impacts of the COVID-19 pandemic increase .
2021 Revised Construction Program:
Motion by Huebsch, second by Johnson and unanimously carried to approve the revised 2021 Proposed Highway Construction
program as presented by the County Engineer.

Nelson Lake Outlet. CD 71 Update

Jeff Langan with Houston Engineering provided a brief update to the Board regarding the potential Nelson Lake county ditch
drainage system . He summarized the progress of the project, expectations relative to the feasibility study, timelines, and next
steps . and plans to submit a preliminary engineer report to the DNR for comments and file the report with the County Auditor
in the coming weeks . A preliminary hearing is planned to be set in January 2021.

At 9:57 a.m ., Chair Rogness declared the meeting of the Otter Tail County Board of Commissioners recessed for a short break.
The Board of Commissioners meeting was reconvened at 10:03 a.m.
Public Health Update
Public Health Director Jody Lien reported that Minnesota has 276,500 lab confirmed cases , of which 179,614 no longer require
isolation, and 3,265 lab confirmed deaths. Otter Ta il County has 2,733 lab confirmed cases of COVID-19, of which 2,205 are no
longer contagious, and 15 COVID-19 related deaths. For more detailed information regarding Otter Tail County COVID-19 data,
visit https://ottertailcountymn.us/content-page/covid-19-health-information/. Healthcare partners recently shared with
community leaders the impacts they are observing and experiencing due to COVID-19 and expressed concerns regarding
staffing and community adherence to the guidance to help slow the spread . Current modeling shows a steady increase of
COVID-19 into January and will continue to be impacted by the virus as well as behaviors of the community. Ms . Lien informed
the Board of a new voluntary app called COVID Aware Minnesota, an exposure notification app that can be used as an additional
tool to help slow the spread of the virus. Information regarding the app can be found at covidawaremn .com . Ms . Lien briefly
discussed Executive order 20-99, specifically the request to limit social gatherings, and encourages people to follow CDC
guidelines should they choose to gather. Ms . Lien briefly reviewed the distribution plan of the vaccine for when it becomes
available and assured the Board there are many discussions and planning efforts being made.
Countywide Emergency Operations Center (EOC)
Emergency Management Director Patrick Waletzko provided a brief update to the Board regarding the Countywide EOC and
commented on a recent meeting held by various healthcare and community partners regarding their perspectives and impacts
due to COVID-19 . Mr. Waletzko discussed the availability of personal protective equipment and plans to monitor the need as
cases increase .
Business Community
Community Development Director Amy Baldwin provided a brief update to the Board regarding the business community and
reviewed the October unemployment numbers. Otter Tail County is at 2.8 % unemployment, a decrease from September at
3.6%, and labor force participation has increased . The Governor will be announcing plans for additional aids specific to Execute
Order 20-99 and information will be provided to businesses as well as impacted workers once it is available.
Internal Operations and County Planning
County Administrator Nicole Hansen provided a brief update to the Board regarding internal operations and county planning .
Departments continue to review their continuity of operations and are working together to ensure services are available to the
public. She commended staff for taking precautions seriously and is educating staff to continue precautions outside of work.
Sale Award for General Obligation Capital Improvement Bonds. Series 2020A
The Chair announced that the meeting was convened for the purpose of considering proposals for the purchase of $9,560,000
General Obligation Capital Improvement Bonds, Series 2020A. Proposals were submitted as shown in Exhibit B attached hereto.
Commissioner Johnson introduced the following written resolution and moved its adoption :
RESOLUTION AWARDING SALE OF $9,560,000 GENERAL OBLIGATION CAPITAL IMPROVEMENT BONDS, SERIES 2020A,
FIXING THE FORM AND SPECIFICATIONS THEREOF, PROVIDING FOR THEIR EXECUTION AND DELIVERY, AND
PROVIDING FOR THEIR PAYMENT

BE IT RESOLVED by the Board of Commissioners of Otter Tail County, Minnesota, as follows:
1. The proposal of Piper Sandler & Co . to purchase the $9 ,560,000 General Obligation Capital Improvement Bonds, Series
2020A of the County is hereby found and determined to be a favorable proposal, and shall be and is hereby accepted,
said proposal being to purchase Bonds maturing and bearing interest as set forth in paragraph 2 at a price of
$9,861,662 .80 plus accrued interest.

2. To provide funds for various public building improvements, county highway and bridge projects and Phelps
Mill Park improvements pursuant to the County's Capital Improvement Plan approved October 6, 2020 (the "Capital
Improvement Plan "), the County shall forthwith issue its negotiable General Obligation Capital Improvement Bonds,
Series 2020A (the "Bonds "), pursuant to Minnesota Statutes, Section 373.40 and Chapter 475 . The Bonds shall be in
the aggregate principal amount of $9 ,560,000, to be dated December 17 , 2020, bear interest at the rates per annum
according to years of maturity set forth below, computed on the basis of a 360-day year of twelve 30-day months,
payable August 1, 2021 , and semiannually thereafter on February 1 and August 1 in each year, and mature serially on
February 1 in the years and amounts as follows :

All Bonds maturing on or after February 1, 2030, are subject to redemption and prior payment in whole or in part in
such order as the County may determine and by lot within a maturity at the option of the County on February 1, 2029,
and any date thereafter at par and accrued interest. In the event of redemption by lot of Bonds of like maturity, the
Bond Registrar shall assign to each Bond of such maturity then outstanding a distinctive number for each $5 ,000 of
the principal amount of such Bonds and shall select by lot in the manner it determines the order of numbers, at $5,000
for each number, for all outstanding Bonds of like maturity. The order of selection of Bonds to be redeemed shall be
the Bonds to which were assigned numbers so selected, but only so much of the principal amount of each Bond of a
denomination of more than $5,000 shall be redeemed as shall equal $5 ,000 for each number assigned to it and so
selected . The Bonds shall be numbered R-1 upwards in order of issuance or in such other order as the Registrar may
determine and shall be in the denomination of $5,000 each or any integral multiple thereof not exceeding the amount
maturing in any year .
The maturities of the Bonds are combined with the maturities of the County's outstanding general obligation bonds
for the purpose of compliance with Minnesota Statutes, Section 475.54 .
3. The Bonds shall be payable as to principal upon presentation at the office of Bond Trust Services Corporation,
Roseville , Minnesota, as Registrar and Paying Agent, or at the offices of such other successor agents as the County
may hereafter designate upon 60 days' mailed notice to the registered owners at their registered addresses . Interest
shall be paid by check or draft of the Registrar mailed to the registered owners at their addresses shown on the
registration books of the County on the 15th day of the month preceding each interest payment date.
4 . The Bonds, the Registrar 's Certificate of Authentication and Registration and the form of assignment on the reverse
side thereof shall be in substantially the following form :

The County of Otter Tail, Minnesota, for value received, hereby promises to pay to the Registered Owner specified above, or
registered assigns, the Principal Amount specified above on the Maturity Date specified above, upon the presentation and
surrender hereof, and to pay to the Registered Owner hereof interest on such Principal Amount at the Interest Rate specified
above from the Date of Original Issue, or the most recent interest payment date to which interest has been paid or duly
provided for as specified below, on February 1 and August 1 of each year, commencing August 1, 2021, until said principal
amount is paid . Principal is payable in lawful money of the United States of America at the office of Bond Trust Services
Corporation in Roseville, Minnesota, as Registrar or of a successor Registrar designated by the County, which designation shall
be made upon notice of 60 days to the Registered Owners at their registered addresses. Interest is payable by check or draft
mailed to the person in whose name this Bond is registered at the close of business on the 15th day of the month preceding
each interest payment date (whether or not a business day) at the registered owner's address set forth on the registration
books maintained by the Registrar. Any such interest not punctually paid or provided for will cease to be payable to the owner
of record as of such regular record dates and such defaulted interest may be paid to the person in whose name this Bond shall
be registered at the close of business on a special record date for the payment of such defaulted interest established by the
Registrar. For the prompt and full payment of such principal and interest as the same become due, the full faith, credit and
taxing powers of the County have been and are hereby irrevocably pledged.
The Bonds of this series maturing on or after February 1, 2030, are subject to redemption at the option of the County, in whole
or in part in such order as the County may determine and by lot within a maturity, on February 1, 2029, and any date thereafter
at par and accrued interest. Thirty days' notice of prior redemption will be given by mail to the bank where the Bonds are
payable and to the registered owners in the manner provided by Chapter 475, Minnesota Statutes. Any defect in mailing notice
of redemption shall not affect the validity of the proceedings for redemption. Any Bond called for redemption, and for the
payment of which moneys are set aside by the County on the redemption date, shall not bear interest after the redemption
date, regardless of any delay in its presentation .
This Bond is one of an issue of Bonds in the aggregate principal amount of $9,560,000, all of like date and tenor except as to
maturity, interest rate and redemption privilege, issued pursuant to and in full conformity with the Constitution and Laws of
the State of Minnesota, including Section 373.40, Minnesota Statutes, for the purpose of providing funds for various public
improvements described in the County's Capital Improvement Plan adopted October 6, 2020 . The Bonds of this issue are
payable primarily from taxes levied under the Resolution described below, and this Bond constitutes a general obligation of
the County and to provide moneys for the prompt and full payment of said principal and interest as the same become due the
full faith and credit of the County is hereby irrevocably pledged , and the County will levy additional ad valorem taxes on all
taxable property in the County, if required for such purpose, without limitation as to rate or amount.
This Bond is transferable, as provided by the Resolution of the Board of County Commissioners authorizing the issuance of the
Bonds of this series adopted November 24, 2020 (the "Resolution") only upon books of the County kept at the office of the
Registrar by the Registered Owner hereof in person or by the Registered Owner's duly authorized attorney, upon surrender of
this Bond for transfer at the office of the Registrar, duly endorsed by, or accompanied by a written instrument of transfer in
form satisfactory to the Registrar duly executed by, the Registered Owner hereof or the Registered Owner's duly authorized
attorney, and , upon payment of any tax, fee or other governmental charge required to be paid with respect to such transfer,
one or more fully registered Bonds of the series of the same principal amount, maturity and interest rate will be issued to the
designated transferee or transferees . The Registered Owner of this Bond may be treated as the absolute owner hereof for all
purposes.
The Bonds of this series are issuable only as fully registered bonds without coupons in denominations of $5,000 or any integral
multiple thereof not exceeding the principal amount maturing in any one year. As provided in the Resolution and subject to
certain limitations therein set forth, the Bonds of this series are exchangeable for a like aggregate principal amount of Bonds
of this series of a different authorized denomination, as requested by the Registered Owner or the Registered Owner's duly
authorized attorney upon surrender thereof to the Registrar .
IT IS HEREBY CERTIFIED AND RECITED that this Bond is issued by authority of and in strict accordance with Minnesota Statutes,
Section 373.40 and Chapter 475 , that all acts, conditions and things required by the Constitution and laws of the State of
Minnesota to be done, to happen and to be performed precedent to and in the issuance of this Bond have been done, have
happened and have been performed in regular and due form, time and manner as required by law and that this Bond, together

5. The Bonds shall be prepared in printed form under the direction of the County Administrator and when so prepared
shall be executed on behalf of the County by the manual or facsimile signature of the Chair and by the manual or
facsimile signature of the County Administrator . The Bonds shall not be valid for any purpose until authenticated by
the Registrar . The Bonds initially issued hereunder shall be registered as of the date of delivery, and all Bonds issued
in exchange therefor shall be registered as of such date, or, if issued after the first payment date, as of the most recent
interest payment date on which interest was paid or duly provided for. When the Bonds shall have been so prepared
and executed , they sha II be delivered to the purchaser by the County Administrator or the Administrator 's designee(s)
upon receipt of the purchase price and accrued interest and the signed legal opinion of Kutak Rock LLP , as Bond
Counsel , and the purchaser shall not be required to see to the proper application of the proceeds.
6. As long as any of the Bonds issued hereunder shall remain outstanding, the County shall maintain and keep at the
office of the Registrar an office or agency for the payment of the principal of and interest on the Bonds , as in this
Resolution provided, and for the registration and transfer of the Bonds, and shall also keep at the office of the Registrar
books for such registration and transfer. Upon surrender for transfer of any Bond at the office of the Registrar with a
written instrument of transfer satisfactory to the Registrar, duly executed by the registered owner or the owner's duly
authorized attorney, and upon payment of any tax, fee or other governmental charge required to be paid with respect
to such transfer, the County shall execute and the Registrar shall authenticate and deliver, in the name of the
designated transferee or transferees, one or more fully registered Bonds of the same series and maturity date, of any
authorized denominations of a like aggregate principal amount, maturity and interest rate. The Bonds , upon
surrender thereof at the office of the Registrar, may at the option of the registered owner thereof be exchanged for
an equal aggregate principal amount of Bonds of the same maturity date and interest rate of any authorized
denominations. In all cases in which the privilege of exchanging Bonds or transferring fully registered Bonds is
exercised, the County shall execute and the Registrar shall deliver Bonds in accordance with the provisions of this
Resolution. For every such exchange or transfer of Bonds, whether temporary or definitive, the County or the Registrar
may make a charge sufficient to reimburse it for any tax, fee or other governmental charge required to be paid with
respect to such exchange or transfer, which sum or sums shall be paid by the person requesting such exchange or
transfer as a condition precedent to the exercise of the privilege of making such exchange or transfer.
Notwithstanding any other provision of this Resolution , the cost of preparing each new Bond upon each exchange or
transfer, and any other expenses of the County or the Registrar incurred in connection therewith (except any
applicable tax, fee or other governmental charge) shall be paid by the County. The County and the Registrar shall not
be required to make any transfer or exchange of any Bonds during the fifteen (15) days next preceding any February 1
or August 1 interest payment date.
7. Interest on any Bond which is payable, and is punctually paid or duly provided for, on any interest payment date shall
be paid to the person in whose name that Bond (or one or more Bonds for which such Bond was exchanged) is
registered at the close of business on the 15th day of the month preceding such interest payment date. Any interest
on any Bond which is payable, but is not punctually paid or duly provided for, on any interest payment date shall
forthwith cease to be payable to the registered holder on the relevant regular record date solely by virtue of such
holder having been such holder; and such defaulted interest may be paid by the County in any lawful manner, if, after
notice given by the County to the Registrar of the proposed payment pursuant to this paragraph , such payment shall
be deemed practicable by the Registrar . Subject to the foregoing provisions of this paragraph, each Bond delivered
under this Resolution upon transfer of or in exchange for or in lieu of any other Bond shall carry all the rights to interest
accrued and unpaid , and to accrue, which were carried by such other Bond and each such Bond shall bear interest
from such date that neither gain nor loss in interest shall result from such transfer, exchange or substitution .
8. As to any Bond , the County and the Registrar and their respective successors, each in its discretion , may deem and
treat the person in whose name the same for the time being shall be registered as the absolute owner thereof for all
purposes and neither the County nor the Registrar nor their respective successors shall be affected by any notice to
the contrary. Payment of or on account of the principal of any such Bond shall be made only to or upon the order of
the registered owner thereof, but such registration may be changed as above provided . All such payments shall be
valid and effectual to satisfy and discharge the liability upon such Bond to the extent of the sum or sums so paid .
9. (a) For purposes of this paragraph 9, the following terms shall have the following meanings:
"Beneficial Owner" shall mean , whenever used with respect to a Bond, the person recorded as the beneficial owner of
such Bond by a Participant on the records of such Participant, or such person's subrogee.

the County Treasurer is authorized and directed to pay said principal and interest from the general fund and thereafter
to reimburse said general fund from collections of taxes levied pursuant hereto. Proceeds of the Bonds herein
authorized shall be used solely for the payment of the costs of the projects described in the Capital Improvement Plan
and costs described in Minnesota Statutes, Section 475 .68 . Any remaining proceeds may be used for any lawful
purpose .
11 . There is hereby levied upon all the taxable property in the County a direct annual ad valorem tax which shall be spread
upon the tax rolls and collected as part of other general ad valorem taxes of the County in the years and amounts as

Said levy shall be irrepealable and the taxes so levied are irrevocably appropriated to the debt service fund , but the
County reserves the right to reduce said levy from funds in the Capital Improvement Bonds , Series 2020A Fund or
other moneys in the manner and to the extent permitted by Minnesota Statutes, Section 475 .61 .
It is hereby found and determined that the foregoing taxes , if collected in full , together with capitalized interest and
available funds hereby appropriated to pay interest on the Bonds in 2021, will produce at least five percent in excess
of the amount needed to meet when due the payments of principal and interest on the Bonds; and the Bonds are
general obligations of the County to which the full faith, credit and unlimited taxing powers of the County have been
and are hereby pledged ; and the Board of Commissioners shall additional levy general ad valorem taxes on all taxable
property in the County, if necessary, to pay the principal of and interest on the Bonds when due.
12 . The County Administrator is authorized and directed to prepare and furnish to the purchaser and to the attorneys
approving the Bonds, certified copies of all proceedings and records relating to the issuance of the Bonds, and to the
right, power and authority of the County and its officers to issue the same , and said certified copies and certificates
shall be deemed the representations of the County as to all matters stated therein.
13 . The officers of the County are hereby authorized and directed to prepare and furnish to the Secretary of the Treasury
a statement meeting the information reporting requirements of Section 149(e) of the Internal Revenue Code of 1986,
as amended (the "Code "), by the 15th day of the second calendar month after the close of the calendar quarter in
which the Bonds are issued .
14 . The County shall not take or permit any action that would cause the Bonds to be "private activity bonds" within the
meaning of Section 141 of the Code . In addition, the County shall make no investment of funds that would cause the
Bonds to be "arbitrage bonds" within the meaning of Section 148 of the Code and regulations thereunder. The County
Administrator is authorized to make any elections available to the County under Section 148 of the Code and
regulations thereunder. All terms used in this paragraph 14 shall have the meanings provided in the Code and
regulations thereunder.

15 . The County Administrator shall register the Bonds in the office of the County Auditor as required by law.
16 . The Preliminary Official Statement relating to the Bonds, on file with the County Administrator and presented to this
meeting, is hereby approved, and the County ratifies and confirms its designation of the Preliminary Official Statement
as a "near final " Official Statement for purposes of Rule 15c2-12 of the Securities and Exchange Commission and the
furnishing thereof to prospective purchasers of the Bonds, insofar as the same relates to the Bonds and the sale
thereof. The Continuing Disclosure Certificate included in the Official Statement is hereby approved and shall be
executed and delivered in connection with the delivery of the Bonds to the Purchaser.
17 . The Bonds are designated "qualified tax-exempt obligations" for purposes of Section 265(b)(3) of the Code .
The motion for the adoption of the foregoing resolution was duly seconded by Commissioner Lindquist, and, after discussion

Sale Award of General Obligation Waste Disposal Revenue Bonds. Series 2020B
The Chair announced that the meeting was open for the purpose of considering proposals for the purchase of $2,000,000
General Obligation Waste Disposal Revenue Bonds, Series 2020B (Prairie Lakes Municipal Solid Waste Authority). Proposals
were submitted for each series as shown in Exhibit C attached hereto.
Commissioner Lindquist introduced the following written resolution and moved its adoption:
RESOLUTION AWARDING SALE OF $2,000,000 GENERAL OBLIGATION WASTE DISPOSAL REVENUE BONDS, SERIES
2020B, FIXING THE FORM AND SPECIFICATIONS THEREOF, PROVIDING FOR THEIR EXECUTION AND DELIVERY, AND
PROVIDING FOR THEIR PAYMENT
Otter Tail County Resolution No. 2020 -85
A. WHEREAS , the Board of Commissioners hereby determines and declares that it is necessary and expedient to issue on
behalf of Prairie Lakes Municipal Solid Waste Authority Joint Powers Board (the "Board") $2 ,000 ,000 aggregate principal amount
General Obligation Waste Disposal Revenue Bonds, Series 2020B (Prairie Lakes Municipal Solid Waste Authority) (the "Bonds"),
pursuant to Minnesota Statutes, Chapter 475 and Sections 400.101 and 471.59, to finance the cost of improvements to the solid
waste disposal facilities known as the Perham Resource Recovery Facility (the "Facilities"); and
B. WHEREAS , the County, together with Becker, Clay, Todd and Wadena Counties (the "Other Members" and, with the
County, the "Member Counties ") have organized the Board as a joint powers entity under Minnesota Statutes, Section 471.59
for the purpose of acquiring the Facilities from the City of Perham; and
C. WHEREAS , the Member Counties have entered into a Joint Powers Financing Agreement, as amended by a Third
Amendment thereto (the "County Agreement") under which the County has agreed to issue general obligation bonds to
finance improvements to the Facilities and , to the extent necessary to pay their respective pro rata shares of the principal and
interest on the Bonds when due, the Member Counties have pledged their full faith and credit and taxing powers; and
D. WHEREAS , the Board and the County will enter into a Solid Waste Financing Agreement (the "Board Agreement")
under which the Board agrees to own and operate the Facilities and pay to the County the net revenues of the Facilities to the
extent necessary to pay principal of and interest on the Bonds when due.

E. WHEREAS , the County ha s retained Ehlers & Associates, Inc., in Roseville, Minnesota, as its independent financial
advisor for the sale of the Bonds and is therefore authorized to sell the Bonds by private negotiation in accordance with
Minnesota Statues, Section 475.60, Subdivision 2(9) and proposals to purchase the Bonds have been solicited by Ehlers; and
F. WHEREAS , the proposals set forth on Exhibit C attached hereto were received at the offices of Ehlers at 12 :00 P.M . on
November 23 pursuant to the Terms of Proposal established for each series of the Bonds; and
G. WHEREAS , it is in the best interests of the County that the Bonds be issued in book-entry form as hereinafter provided .
NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of Otter Tail County, Minnesota, as follows :
1. Award of Sale . The proposal of Robert W . Baird & Co ., Inc. to purchase the $2,000,000 General Obligation Waste
Disposal Revenue Bonds, Series 2020B (Prairie Lakes Municipal Solid Waste Authority) of the County is hereby found and
determined to be a favorable proposal, and shall be and is hereby accepted, said proposal being to purchase Bonds maturing
and bearing interest as set forth in paragraph 2 at a price of $2,043,162.70 plus accrued interest.
2. Bond Terms . The Bonds shall be in the aggregate principal amount of $2,000,000, be dated December 17, 2020, bear
interest at the rates per annum according to years of maturity set forth below, computed on the basis of a 360-day year of
twelve 30-day months, payable November 1, 2021, and semiannually thereafter on May 1 and November 1 in each year, and
mature serially on May 1 in the years and amounts as follows :

maturity. The order of selection of Bonds to be redeemed shall be the Bonds to which were assigned numbers so selected , but

$5,000 for each number assigned to it and so selected . The Bonds shall be numbered R-1 upwards in order of issuance or in
such other order as the Registrar may determine and shall be in the denomination of $5 ,000 each or any integral multiple
thereof not exceeding the amount maturing in any year.
3. Registrar and Paying Agent. The Bonds shall be payable as to principal upon presentation at the main office of Bond
Trust Services Corporation, as Registrar and Paying Agent, or at the offices of such other successor agents as the County may
hereafter designate upon 60 days' mailed notice to the registered owners at their registered addresses . Interest shall be paid
by check or draft of the Registrar mailed to the registered owners at their addresses shown on the registration books of the
County on the 15th day of the month preceding each interest payment date.

This Bond is one of an issue of Bonds in the aggregate principal amount of $2,000,000, all of like date and tenor except as to
maturity, interest rate , and redemption privilege, issued pursuant to and in full conformity with the Constitution and Laws of
the State of Minnesota, including Sections 400 .101 and 471.59, Minnesota Statutes, for the purpose of providing funds for
improvements to the solid waste disposal facilities (the "Facilities") owned and operated by Prairie Lakes Municipal Solid Waste
Authority Joint Powers Board (the "Board"), a joint powers entity whose members are Becker, Clay, Otter Tail, Todd and Wadena
Counties (the "Member Counties"). The Bonds of this issue (and any additional obligations payable therefrom) are payable
primarily from the net revenues of the Facilities and certain obligations of the Member Counties as described in the Resolution
referred to below, but this Bond constitutes a general obligation of the County and to provide moneys for the prompt and full
payment of said principal and interest as the same become due the full faith and credit of the County is hereby irrevocably
pledged, and the County will levy ad valorem taxes on all taxable property in the County, if required for such purpose, without
limitation as to rate or amount.
This Bond is transferable, as provided by the Resolution of the Board of County Commissioners authorizing the issuance of the
Bonds of this series adopted November 24 , 2020 (the "Resolution") only upon books of the County kept at the office of the
Registrar by the Registered Owner hereof in person or by the Registered Owner's duly authorized attorney, upon surrender of
this Bond for transfer at the office of the Registrar, duly endorsed by, or accompanied by a written instrument of transfer in

the Registrar . The Bonds initially issued hereunder shall be registered as of December 17, 2020, and all Bonds issued in exchange

on which interest was paid or duly provided for. When the Bonds shall have been so prepared and executed, they shall be
delivered to the purchaser by the County Administrator or the Administrator's designee(s) upon receipt of the purchase price
and accrued interest and the signed legal opinion of Kutak Rock LLP, as Bond Counsel , and the purchaser shall not be required
to see to the proper application of the proceeds .
6. Registration and Transfer. As long as any of the Bonds issued hereunder shall remain outstanding, the County shall

Recess & Reconvene
At 11 :36 a.m ., Chair Rogness declared the meeting of the Otter Tail County Board of Commissioners recessed for a Public
Works Committee meeting and a working session . The Board of Commissioners meeting was reconvened at 1 :46 p .m .
CARES Funding
Assistant Finance Director Kris Vipond shared a document with the Board, outlining the current distribution of CARES funds .
She reported that of the $7 .2 million received from the state, $4.2 million has been spent thus far and $2 million is pending. The
county has received $410,729 .85 from cities and townships and continues to receive funds. County Administrator Nicole Hansen
provided several examples of how the county was able to identify alternatives for applicants that did not fit within the
parameters of the small business relief grant but were eligible in other program areas . Concerns were expressed regarding small
businesses and the importance to maintain and provide support to the best of the county's ability. Community Development
Director Amy Baldwin shared that the Community Development Agency (CDA) worked with several networks throughout the
county to inform the public of the programs that were available and anticipates the state will provide further aid due to
Executive order 20-99 . Deputy County Administrator Nick Leonard commented that the county plans to secure any unspent
dollars for county costs such as public safety salaries. The Board discussed providing funding to Lake Region Healthcare (LRHC)
as their grant through the state was much lower than expected . LRHC has had and will continue to have COVID-19 related
expenses particularly with the increased hospitalizations of COVID-19 patients. Public Health Director Jody Lien reached out to
other healthcare partners in Otter Tail County and they did not identify a need for additional dollars. Motion by Huebsch,
second by Lindquist and unanimously carried to approve up to $210,000 of CARES funding to Lake Region Healthcare in Fergus
Falls to provide relief and supplement expenditures related to COVID .
Commissioners expressed appreciation and gratitude for the time and efforts spent on the CARES program and the distribution
of funds into the community and staff thanked Commissioners for being insightful to how the county is organized to allow the
county to be able to act as they have been able to during the pandemic.
